Website Use License Agreement
Effective Date: March 14, 2026
This Website Use License Agreement ("License Agreement" or "Agreement") is a binding legal agreement between you ("User," "you," or "your") and ABC Printing Inc. ("ABC Printing," "Company," "we," "us," or "our"). This Agreement governs your use of the website located at goabcprint.com, including all features, tools, account functionality, and platform outputs (collectively, the "Platform").
This Agreement supplements and is incorporated into our Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, the Terms of Service shall control unless this Agreement expressly states otherwise. By accessing or using the Platform, you accept and agree to be bound by this Agreement.
1. Grant of License
1.1 Limited License
Subject to your compliance with this Agreement and the Terms of Service, ABC Printing grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for the following purposes:
- Browsing product offerings, pricing, and company information.
- Creating and maintaining a user account.
- Submitting quote requests and placing print orders.
- Uploading artwork and other files necessary for order fulfillment.
- Reviewing proofs, order history, and account information.
- Communicating with ABC Printing through the Platform's contact and messaging features.
- Accessing and using the shopping cart and checkout process.
1.2 License Limitations
This license is personal to you and may not be assigned, transferred, or shared with any third party. You may not sublicense any rights granted under this Agreement. This license does not grant you any ownership interest in the Platform or its content. We reserve all rights not expressly granted in this Agreement.
2. Ownership
2.1 Platform Ownership
The Platform, including all software, code, algorithms, user interface designs, page layouts, workflows, databases, APIs, graphics, text, logos, trademarks, and all other content and technology (collectively, "Platform Materials"), is and shall remain the exclusive property of ABC Printing Inc. or its licensors. The Platform Materials are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
2.2 Customer Content Ownership
You retain full ownership of all artwork, images, documents, text, and other content that you upload to or create through the Platform ("Customer Content"). By uploading Customer Content, you grant ABC Printing only the limited license described in Section 3 of this Agreement. Nothing in this Agreement transfers any ownership of your Customer Content to ABC Printing.
2.3 Platform Outputs
The Platform may generate previews, thumbnails, proof layouts, price calculations, order summaries, or other derived outputs based on your inputs and Customer Content ("Platform Outputs"). Platform Outputs are generated solely for your use in connection with the Services and are provided on an "as is" basis. You may use Platform Outputs only for the purpose of reviewing and completing your orders. You may not redistribute, sell, or use Platform Outputs for purposes unrelated to your orders with ABC Printing. Platform Outputs that incorporate or display your Customer Content do not transfer any intellectual property rights to you in the underlying Platform technology used to generate them.
3. Customer Content License
3.1 License Grant
By uploading Customer Content to the Platform, you grant ABC Printing a limited, non-exclusive, worldwide, royalty-free license to:
- Store, copy, and process the content on our servers and those of our hosting providers.
- Display the content to you and to ABC Printing personnel as necessary to provide the Services.
- Reproduce the content as necessary for printing, proofing, and fulfilling your orders.
- Create thumbnails, previews, or proof versions of the content for order management purposes.
- Retain copies as necessary for order records, quality assurance, reprints, and customer support.
3.2 Scope and Duration
This license is limited to the purposes stated above and does not authorize ABC Printing to use your Customer Content for marketing, resale, or any purpose beyond order fulfillment and business operations, except as provided in the portfolio use provision of the Terms of Service (Section 13.3). This license continues for as long as your content remains stored on our systems and terminates upon deletion of the content, subject to any backup or archival copies that are removed in the ordinary course.
4. Prohibited Uses
Your license to use the Platform is conditioned on your compliance with the following restrictions. You agree not to:
4.1 Unauthorized Access and Interference
- Access or attempt to access any part of the Platform, its servers, databases, or connected systems that you are not authorized to access.
- Circumvent, disable, damage, or interfere with any security features, access controls, authentication mechanisms, or usage restrictions of the Platform.
- Probe, scan, or test the vulnerability of the Platform or any connected system or network without authorization.
- Interfere with or disrupt the integrity, performance, or availability of the Platform or its infrastructure.
- Overload, flood, or otherwise impose an unreasonable or disproportionate burden on the Platform's infrastructure.
4.2 Automated Access and Data Collection
- Use any robot, spider, crawler, scraper, data-mining tool, or other automated means to access the Platform or collect data from it, except with our prior written consent.
- Harvest, collect, or compile information about other users of the Platform without their consent.
- Use automated scripts or tools to create accounts, submit orders, or interact with the Platform in any way not intended for normal human use.
- Frame, mirror, or create derivative works based on the Platform or any portion thereof.
4.3 Reverse Engineering
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, algorithms, data structures, or underlying technology of the Platform.
- Modify, translate, adapt, or create derivative works of the Platform software or any component thereof.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Platform.
4.4 Misuse of Platform Features
- Use the Platform to transmit viruses, worms, malware, ransomware, or any other harmful or destructive code.
- Use the Platform for any purpose that is unlawful, fraudulent, deceptive, or harmful.
- Use the Platform to infringe the intellectual property rights, privacy rights, or other rights of any third party.
- Resell, redistribute, or commercially exploit access to the Platform or any portion thereof.
- Use the Platform in a manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.
4.5 Misuse of Proofs, Previews, and Generated Assets
- Use proofs, previews, thumbnails, mock-ups, or other Platform Outputs for any purpose other than reviewing and completing your orders with ABC Printing.
- Redistribute or publish proofs or previews generated by the Platform as finished products or for any commercial purpose outside of your order.
- Use price quotes, pricing data, or product specifications obtained from the Platform for competitive analysis or commercial intelligence without our written consent.
5. Account Security
Your Platform account is personal to you. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:
- Keep your authentication credentials (including magic link emails) secure and not share them with any third party.
- Immediately notify us if you suspect any unauthorized access to your account.
- Not create multiple accounts for the purpose of circumventing restrictions, abusing promotions, or evading enforcement actions.
- Not impersonate another person or use another person's account without authorization.
We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.
6. Third-Party Components
The Platform incorporates third-party software libraries, frameworks, and services, some of which may be open-source software. These third-party components are provided under their respective licenses and terms, which may differ from this Agreement. Nothing in this Agreement limits or overrides the terms of any applicable open-source license. The inclusion of third-party components does not grant you any rights to the Platform beyond those expressly stated in this Agreement.
Key third-party components include but are not limited to: Supabase client libraries, Stripe.js, and content delivered via jsDelivr CDN. Your use of these components is also governed by the terms of their respective providers.
7. Updates and Modifications
We may modify, update, enhance, or discontinue any feature or functionality of the Platform at any time, with or without notice. Such changes may include adding or removing features, changing the user interface, updating third-party integrations, modifying pricing tools, or altering workflows. We are not obligated to maintain, support, or offer any particular feature. Your continued use of the Platform following any changes constitutes your acceptance of the modified Platform.
If we discontinue the Platform entirely, we will make commercially reasonable efforts to provide advance notice and allow you to retrieve your Customer Content before deletion.
8. Termination
8.1 Termination by Us
We may suspend or revoke your license and access to the Platform at any time, with or without cause, including for:
- Violation of this Agreement or the Terms of Service.
- Conduct that we determine, in our sole discretion, is harmful to the Platform, other users, or our business.
- Suspected fraud, abuse, or unauthorized use.
- Extended account inactivity (12 months or more).
- Discontinuation of the Platform or Services.
8.2 Termination by You
You may terminate your use of the Platform at any time by ceasing to use the Site and, if applicable, requesting deletion of your account by contacting us at danny@abcprintinginc.com.
8.3 Effect of Termination
Upon termination of this license for any reason:
- Your right to access and use the Platform ceases immediately.
- We may delete your account, uploaded files, and associated data, subject to legal retention requirements.
- Any pending orders that have been paid for will be fulfilled in accordance with the Terms of Service.
- The following sections survive termination: Sections 2 (Ownership), 4 (Prohibited Uses), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (General Provisions).
9. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ABC PRINTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES, UNINTERRUPTED, SECURE, OR FREE OF ERRORS, BUGS, OR VULNERABILITIES. WE DO NOT WARRANT THAT ANY DATA STORED ON THE PLATFORM WILL BE RETAINED INDEFINITELY OR THAT THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABC PRINTING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ABC PRINTING IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
11. Indemnification
You agree to indemnify, defend, and hold harmless ABC Printing Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of this Agreement, your misuse of the Platform, your Customer Content (including any infringement claims), or your violation of any applicable law or third-party rights.
12. General Provisions
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Santa Clara County, California.
12.2 Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and ABC Printing with respect to the subject matter hereof.
12.3 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
12.4 No Waiver
Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
12.5 Assignment
You may not assign or transfer this Agreement or any rights granted hereunder without our prior written consent. We may assign this Agreement without restriction.
